1. About these terms
These terms apply to your use of this website and to any order you place with Wink Retailers. By placing an order you accept these terms. Please read them before ordering.
2. Orders
An order placed through this website or by email, telephone or WhatsApp is an offer to buy. A contract is formed only when we confirm the order in writing. We may decline an order where an item is out of stock, where a price or description has been published in error, or where we are unable to verify the details supplied.
3. Prices
Prices are shown in US dollars and exclude delivery and any applicable sales tax, which are shown separately before an order is confirmed. Prices may change, but a change will not affect an order we have already confirmed. Wholesale prices shown on product pages are indicative unit prices at minimum order quantity; the firm price is the one stated on your written quotation.
4. Payment
Where card checkout is available, payment is taken through a third-party payment provider at the time of order. Where it is not, we will confirm the total and issue a secure payment link before the order is processed. Goods remain our property until payment has been received in full.
5. Delivery
Delivery timescales are estimates given in good faith and run from dispatch. We are not liable for delays caused by carriers, weather or other events outside our reasonable control, but we will keep you informed and will do what we reasonably can to resolve the position. Risk in the goods passes to you on delivery.
6. Returns and refunds
Retail returns are governed by our delivery and returns policy, which forms part of these terms. Nothing in these terms affects your statutory rights as a consumer.
7. Product descriptions and images
We describe every item as accurately as we can, including its composition and care requirements. Colours may appear differently between screens, and natural materials such as leather, suede, linen and wool vary in grain, texture and shade between pieces. That variation is a characteristic of the material and is not a defect.
8. Wholesale orders
Wholesale supply is subject to the written quotation issued for that order, which sets out quantities, unit pricing, payment terms and lead time. Where a quotation conflicts with these general terms, the quotation prevails. Trade accounts require verification of business details, including a resale certificate or EIN. Shortages or discrepancies in a wholesale consignment must be reported within seven days of delivery.
9. Intellectual property
The content of this website, including text, photography, layout and the Wink Retailers name and marks, belongs to us or is used under licence. You may not copy, reproduce or use it commercially without our written permission.
10. Acceptable use
You may use this website for lawful purposes only. You must not attempt to gain unauthorised access to it, interfere with its operation, or use automated systems to extract data from it without our permission.
11. Our liability
We are responsible for loss you suffer that is a foreseeable result of our breaking these terms. We are not responsible for loss that is not foreseeable, or for business losses such as loss of profit, business interruption or lost opportunity. Nothing in these terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, or for fraud.
12. Events outside our control
We are not liable for failure or delay in performing our obligations where that failure or delay results from events outside our reasonable control. Where such an event occurs we will contact you and either extend the delivery timescale or, if you prefer, cancel the order and refund any sum paid.
13. Changes to these terms
We may amend these terms from time to time. The version in force at the time you place an order is the version that applies to that order.
14. Governing law
These terms are governed by the laws of the State of Texas, and the courts of Texas have jurisdiction over any dispute arising from them.
